Election of Board of Directors

 The OCIC Annual Meeting and Election will be held on Wednesday, October 14, 2026, at 6:30pm at the Oakland Asian Cultural Center, in Pacific Renaissance Plaza.  388 Ninth Street, Suite 290, Oakland, California 94607. 

This is an IN-PERSON meeting, and there will be NO ZOOM participation.

Oakland Chinatown Improvement Council

A RESOLUTION OF THE BOARD OF DIRECTORS OF THE OAKLAND CHINATOWN IMPROVEMENT COUNCIL SETTING THE DATE OF THE 2025 ANNUAL MEETING AND FIXING THE NUMBER OF DIRECTORS

WHEREAS, the Oakland Chinatown Improvement Council (“OCIC”) Bylaws (“Bylaws”) adopted on May 26, 2022, provide that OCIC shall be governed by a Board of Directors with a minimum of seven (7) and a maximum of twenty-seven (27) Directors meeting qualifications established in the Bylaws with the exact number of Directors fixed from time to time by resolution by the Board of Directors; and

WHEREAS, not less than 2/3 of OCIC Board of Directors shall be Property Owner Directors as that term is defined in the Bylaws and the remaining Directors shall be Community Directors as that term is defined in the Bylaws; and 

WHEREAS, for all subsequent elections, all newly elected Property Owner Directors and Community Directors will serve for a term of two (2) years; and 

WHEREAS, the Bylaws provide that an Annual Meeting for the purpose of electing members of the Board of Directors and appointing officers of the Corporation shall be held each year between Labor Day and Thanksgiving.   

NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the Oakland Chinatown Improvement Council, as follows:

1. That the number of OCIC Directors is 21 including at least 14 Property Owner Directors and 7 Community Members.

2. That the 2025 Annual Meeting for the purpose of electing Directors and appointing Officers will occur on Thursday, October 16, 2025.

PASSED, APPROVED AND ADOPTED by the Board of Directors of the Oakland Chinatown Improvement Council, at a Regular Meeting held this 29th day of July 2025.

鑒於 2022 年 5 月 26 日通過的屋崙華埠社區促進會(“OCIC”)章程(“章程”)規定,

OCIC 由董事會負責管理。董事會至少有七(7)名成員,最多不超過二十七(27)名成員,符合

章程規定的資格,董事會不時通過決議確定董事的確切數目;以及

OCIC 的新董事會裡不可以少於 2/3 的董事是業主,該規條在章程中已有定義,其他 1/3

的董事為社區董事,該規條在章程中已有定義;以及

鑑於，對於所有後續選舉，所有新當選的財產業主董事和社區董事的任期為兩 (2)

年； 和

鑒於章程規定,每年應在勞工節和感恩節之間舉行年度會議,以選舉董事會成員和任命團

體的官員。

因此屋崙華埠社區促進會委員會董事會決定如下:

1. OCIC 董事人數為 21 人,包括至少 14 名的董事是業主。

2. 2025 年的年會在 2025 年 10 月 16 日舉行,其目的是為選舉董事和任命官員。

在 2025 年 7 月 29 日舉行的例會中, OCIC 董事會成員將會通過、同意和採用上述的規條。

To be eligible for consideration in the upcoming board of director election,  candidates must have attended at least one meeting from either the Civil Sidewalk, District Identity, or Land Use Committee.
